Why should people invest in venture capital?
01
LONG-TERM GROWTH POTENTIAL
Venture capital invests in companies earlier in their development, with the objective of participating in value creation as those businesses grow and scale.
02
GO BEYOND PUBLIC MARKETS
Private companies represent opportunities that aren’t available through a traditional brokerage account, expanding where investors can put capital to work.
03
ACCESS COMPANIES WHILE THEY’RE STILL PRIVATE
Many companies spend years building before reaching the public markets, and some never go public at all. Venture capital provides a way to participate during that private-company stage.

Jetstream is an interval fund.
An interval fund is a type of investment fund that gives you access to assets like venture capital that aren’t typically available on the stock market. Unlike a traditional mutual fund, your money is invested in private, high-growth companies rather than publicly traded stocks.
Jetstream is registered with the SEC, which means it operates under strict regulatory oversight designed to protect investors. And because it’s structured as an evergreen fund, it stays open for new investment continuously. There’s no single window to get in and no deadline to worry about.
Twice a year, investors have the opportunity to request liquidity, meaning you can redeem a portion of your investment during scheduled windows. It’s not a stock you can sell any day, but it’s far more flexible than traditional VC, where your money is typically locked up for a decade.
SIMPLE TAX REPORTING
Investors receive a single Form 1099-DIV for annual tax reporting, rather than K-1s from individual portfolio companies.
SEMIANNUAL LIQUIDITY
Investors may request repurchases twice a year, subject to the Fund’s 5% of NAV limit and possible proration.*
NO ACCREDITATION REQUIRED
Jetstream is open to eligible U.S. investors, with no accredited investor status required to invest.
NO CARRY
Jetstream does not charge carried interest. Investors pay the Fund’s management fee and other expenses.

Frequently Asked Questions (FAQs)
GETTING STARTED
Who is the Fund designed for?
The Fund is designed for long-term investors seeking exposure to venture capital and private markets through a professionally managed portfolio. It was built for investors, even unaccredited investors, who want access to innovative companies without needing to source deals, perform due diligence, or manage a portfolio themselves.
What is the minimum investment?
The minimum investment is currently $5,000. After the initial investment, investors can make additional investments of $500 or more.
Do I need to be an accredited investor?
No. Most U.S. investors can invest in the Fund without meeting traditional accreditation requirements. Investors must satisfy certain eligibility requirements, including providing a U.S. Social Security Number, U.S. mailing address, U.S. bank account, and completing the required tax documentation.
How do I invest?
Investments can be completed through the secure investor portal. After creating an account, complete the identity verification, connect a funding source, and submit your investment. You can view a quick video about the sign up process here.
How long does it take to invest?
Most investors can create an account, complete identity verification, and submit an investment in less than five minutes.
Can I invest through an IRA, trust, or LLC?
Yes. The Fund accepts investments through self-directed IRAs, trusts, and LLCs. These account types require assistance from the investor relations team to complete the setup process. You will still open your account like a personal investor here and then someone will help you finish setting up the account.
Is there an approval process?
There is a brief review process to verify investor eligibility and regulatory requirements. Most investors who meet the Fund’s requirements can invest without issue.
Certain investors may be excluded from investing based on prior bad acts or any history of money laundering. Accreditation is not required. However, prospective investors must provide a US social security number, be a US citizen or US resident alien permitted to complete a Form W-9, provide a US-domiciled bank account, US mailing address, and US phone number.
ABOUT THE FUND
What makes Jetstream different?
The Fund was designed to provide access to venture capital through a structure that is more accessible than many traditional VC funds. Key features include a $5,000 minimum investment, no accreditation requirement for most investors, semiannual redemption opportunities, a single Form 1099-DIV for tax reporting, and fund managers do not collect carried interest.
What is the Fund's investment thesis?
The Fund seeks to invest in innovative companies with the potential to create meaningful long-term value. While healthcare remains a core area of expertise and interest for Xcellerant Ventures, the Fund invests across multiple sectors, including healthcare, technology, aerospace, defense, artificial intelligence, and other emerging industries. The objective is to build a portfolio of companies positioned to benefit from innovation, market expansion, and long-term growth trends.
Why invest through a Fund instead of investing directly in startups?
Investing through Jetstream provides access to a portfolio of companies, professional due diligence, ongoing portfolio management, and investment opportunities that may not be available to individual investors. Rather than relying on the success of a single company, investors spread risk with exposure to a broader portfolio.
What does the Fund invest in?
The Fund primarily invests in innovative private companies across industries such as healthcare, technology, aerospace, defense, artificial intelligence, and other emerging sectors. The portfolio may also include select secondaries, public equities, and high-yield money markets. This balanced portfolio strategy aims to produce returns across short-, medium-, and long-term horizons, with a focus on achieving venture-style multiples at exit.
Does the Fund only invest in private companies?
The Fund primarily focuses on private company investments but may also invest in public companies and other assets when they support the overall investment strategy. This flexibility allows the investment team to pursue attractive opportunities across the broader market while supporting a healthy portfolio mix and liquidity management.
Can I invest in a specific portfolio company?
No. Investors participate in the Fund itself rather than individual companies. Investment decisions are made by the investment team on behalf of all investors. This approach aims to balance risk and also provide access to private market investing that is only reserved for institutions and accredited investors.
How does the investment team evaluate opportunities?
The investment team conducts extensive due diligence on every prospective investment. Areas reviewed include market opportunity, competitive landscape, leadership team, financial performance, growth potential, customer traction, and key business risks.
FUND STRUCUTRE
What is an interval fund?
An interval fund is an SEC-registered investment vehicle that can invest in less liquid assets, such as private companies, while providing periodic opportunities for investors to request redemptions. This structure allows the Fund to pursue long-term private market investments while offering investors more flexibility than many traditional venture capital funds.
What does "evergreen" mean?
The Fund has no predetermined end date. Unlike many traditional venture capital funds that may only have a lifespan of 10 to 12 years, the Fund can continue raising capital, making investments, and managing portfolio companies over time.
What is Net Asset Value (NAV)?
Net Asset Value, or NAV, represents the value of the Fund’s assets minus its liabilities. NAV determines the value of each share and serves as the basis for purchases, redemptions, and reporting.
How often is NAV calculated?
The NAV is calculated daily, although it won’t always change on a daily basis.
The Fund’s investment adviser, Sweater Industries Inc., is responsible for determining the value of securities and assets held by the Fund in accordance with written policies and procedures adopted by the Fund’s Board of Trustees. The Fund’s interests in private companies are typically valued at a fair value calculated by Sweater Industries. The fair value price is intended to reflect the price that the Fund may reasonably expect to receive from the current sale of the asset in an arm’s-length transaction, and this determination is based on all available factors that Sweater Industries deems relevant at the time of determination. Fair value prices are necessarily subjective in nature, and there is no assurance that such a price will be at or close to the price at which the security is next quoted or next trades.
Why does NAV matter?
NAV helps investors understand the value of their investment and serves as the price at which Fund shares are purchased and redeemed.
INVESTING & MINIMUMS
Can I invest more than $5,000?
Yes. The $5,000 minimum is simply the baseline required to begin investing. Investors may participate above the minimum based on their financial goals and investment strategy.
Can I make additional investments after my initial investment?
Yes. Investors can make additional investments of $500 or more after their initial investment. Investors may also set up recurring investments in the investor portal.
Is there a maximum investment amount?
Jetstream does not impose a standard maximum investment amount for most investors. Larger investments may be reviewed to ensure compliance with applicable regulations and Fund requirements.
What will happen to investment proceeds?
Investors will have two options for the treatment of any investment proceeds every six months: receive cash distributions or participate in the dividend reinvestment program.
Cash distribution is exactly what it sounds like. When there are cash-specific exit events in the Fund (i.e. a company is acquired or goes public), that cash will be distributed on a pro-rata basis to investors.
LIQUIDITY & WITHDRAWALS
Can I withdraw my investment?
The Jetstream Venture Fund offers redemption opportunities twice each year. During designated redemption windows, investors may request to redeem some or all of their shares, subject to the terms outlined in the prospectus.
How do redemptions work?
During each redemption period, investors can submit a redemption request. Redemptions will be capped at a maximum of 5% of the Fund’s net assets. After the deadline for submitting redemption requests passes, we will aggregate all of the requests submitted by investors during that redemption window and determine how much of each request can be redeemed.
If the aggregate of all redemption requests submitted ahead of the deadline for that window is less than 5% of the Fund’s net assets, investors will receive 100% of their request.
If the total value of redemption requests submitted during a window exceeds 5% of the Fund’s net assets, a pro-rata reduction will be applied. This means that investors’ redemption requests will be reduced proportionally to manage the overall redemption volume. Investors would be welcome to submit a new request during the next window and there are no penalties for submitting multiple redemption requests.
Is the Fund intended to be a long-term investment?
Yes. The Fund is designed for investors seeking long-term exposure to venture capital and private market opportunities, with the opportunity for short-term redemptions.
FEES & TAX REPORTING
What are the fees?
The Jetstream Venture Fund currently charges a 2.9% annual management fee based on the Fund’s Net Asset Value (NAV). Under a Board-approved expense limitation, total annual operating expenses of the Fund (excluding certain items) are currently capped at 3.5% through March 31, 2027. See the Fund’s prospectus for additional information.
Does the Fund charge carried interest?
No. Unlike many traditional venture capital funds which take 20% of the profits, the Fund does not charge carried interest. Investors retain 100% of gains after applicable fees and expenses.
How is tax reporting handled?
Investors receive a single Form 1099-DIV each year, simplifying tax reporting compared to many traditional private investment structures.
What kind of reporting will I receive?
As an investor, you’ll receive two regular reports, delivered electronically. We will provide investors with two regular reports:
- Account statements, issued quarterly detailing the investor’s personal investments
- Tax statements, issued annually on Form 1099
These reports will both be available for viewing or downloading in your Investment Dashboard.
